Tax Section struggles with ancillary services
Tax Section struggles with ancillary services Working on ancillary business issues and advising the legislature on the overhaul of laws affecting limited liability partnerships are ongoing projects of the Bar’s Tax Section.Section Chair Robert Josepher reported to the Bar Board of Governors in October that the section has been closely following the adoption of Rule 4-5.7, which covers ancillary businesses. He said the section appreciated the Bar’s support for the rule before the Supreme Court, noting that tax practice is an area where many nonlawyers offer services.“We’re kind of struggling with the ancillary businesses issues and ethics, as well. We want to be sure,” Josepher said. “How does the legal profession deal with ancillary business in such a manner that the core values of the profession are indeed protected?”He said the section is planning a seminar on the issue in the spring, with the goal of determining the most dignified manner to offer ancillary services. On legislative matters, Josepher said the section is focusing on two areas. One is assisting lawmakers as they move to overhaul and update limited liability corporate laws and dealing with expected fiscal deficits that will have tax implications. The section had been advised there would be a $1 million deficit in state funding next year, and that didn’t include the passage of the constitutional amendment limiting classroom size. “We were advised that the day after the election we should have our eyes open. We’re going to have a session that deals with revenue issues,” Josepher said.On another matter, he said the section is working to broaden its certification program to encourage more tax lawyers to become certified.“We want to make sure it’s out there and it’s a legitimate means to tell the public they are super qualified,” he said. 4 components of a good MBL structure
8SHARESShareShareSharePrintMailGooglePinterestDiggRedditStumbleuponDeliciousBufferTumblr continue reading » The foundation of every solid credit union member business lending (MBL) program is a proper loan structure, says Mike Steppenbacker, corporate banking director at Ent Federal Credit Union in Colorado Springs, Colo. That foundation rests on four principles, says Steppenbacker, who conducted a breakout session Monday at the CUNA Lending Council Conference in Nashville.A proper loan structure:1. Clarifies expectations for a borrowing relationship. From the outset, engage in open dialogue about goals, future projects, other anticipated cash flow needs, debt repayment plans, and feelings about leverage. And don’t shy away from discussions about liquidity.2. Ensures the borrower has “skin in the game.” How much money has the applicant pledged? The more the better, says Steppenbacker, who adjusts rates to give borrowers an incentive to accept these credit union-friendly structures.
